Your role:
As (Senior) Corporate Counsel Legal M&A & Financing, you will advise internal clients on international mergers & acquisitions including share and asset acquisitions, joint ventures, divestures and financing matters. You will collaborate closely with external counsels and will be required to perform various tasks, including drafting and commenting on transaction documents, reviewing legal due diligence reports, leading and supporting legal negotiations through to signing and closing, and managing specific post-closing matters related to transactions. As a member of LE-XPERTS (LE- Legal Excellence) at our site in Darmstadt, you will be involved in several LE-X and LE initiatives to further support the LE-X change journey and enhance cross-collaboration and your individual development.
As a trusted advisor you will consult and cooperate closely with the M&A and other transaction teams (such as Tax, Accounting, Treasury, Corporate) on different projects. Your role implies balancing the different interests and driving the Company's business strategy but also defining workable solutions regarding significant antitrust, compliance and tax challenges. The scale up of the M&A and other transaction projects will also require thorough, broad-ranging legal support that goes beyond a M&A and transaction experience.
You will manage internal stakeholders as well as external partners and service providers, taking into account specific corporate governance aspects. This will need professional alignment with many internal and external stakeholders including senior management.
Furthermore, you will build the bridge between the business and the relevant Company Enabling Functions as well as our various internal Legal and Compliance teams and external lawyers.
The position is based in Darmstadt, Germany.
Who you are:
- Legal degree with a minimum of 5-7 years of experience working as a lawyer, preferably in an international law firm and the legal department of a multinational company
- Proven track record of international M&A transaction experience and corporate law expertise is a must
- Experience in competition law and/or FDI regulations is a plus
- Comfortable working and interacting with all levels of management, including senior management
- Open, energetic, empathic, proactive and a team player
- Ability to take decisions, act under pressure and manage multiple priorities and tight deadlines
- Solution-oriented, pragmatic working style
- Excellent organizational, collaboration and communication skills
- Fluent in English, both written and verbal, including the ability to read and draft legal documents, German is a plus
